TERMS AND CONDITIONS

Welcome to www.cityhublive.com. The www.cityhublive.com website (the “Site”) is comprised of various web pages operated by Raven Hall Digital, LLC (“Raven Hall Digital,” “we,” “us,” or “our”). The Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Site, creation of an account, or submission of a listing constitutes your agreement to these Terms. Please read them carefully and keep a copy for your reference.

These Terms should be read together with our Privacy Policy, available at https://www.cityhublive.com/privacy (or the Privacy Policy link then posted in the Site footer). If you do not agree, do not use the Site.

1. What the Site Is

www.cityhublive.com is a local information and community listings site covering multiple towns.

The Site collects and posts links to news published by other sites. Raven Hall Digital does not write or report original news articles. News links are provided for convenience. We do not control those publishers and we do not warrant that a linked story is accurate, complete, or still available.

The Site also lists local events and activities, local sporting events, and churches; provides a business directory; and allows permitted user listings described below. Users may upload photos where a feature allows it.

Registered users who are 18 or older may submit classified-style posts for yard sales and garage sales, homegrown goods and farm or produce stands, lost pets, job advertisements, residential rentals, FSBO homes, and selected community events. Job ads may be posted free or as a paid/featured placement when we offer that option. Yard sales, homegrown goods, lost pets, rentals, and FSBO homes are posted free unless we later post a different price at the time of listing.

The Site is a venue for information and user listings only. Raven Hall Digital does not buy, sell, rent, broker, employ, inspect, appraise, insure, or guarantee any item, property, animal, job, food product, or event. We are not a real-estate broker, landlord, property manager, employer, staffing agency, animal shelter, food vendor, or payment processor. We are not a party to any transaction or arrangement between users.

We may add, change, or remove towns, categories, or features at any time.

2. Multiple Towns

The Site covers more than one town or local area and may expand or contract that coverage. A listing must be posted to the town or area where the item, property, animal, job, event, business, or activity actually is. You are responsible for following the federal, state, and local laws that apply to that place, including permits, zoning, sign rules, cottage-food and health rules, tax, fair housing, and employment-advertising laws. Coverage of a town is not an endorsement of any listing there.

3. Electronic Communications

Visiting the Site or sending emails to Raven Hall Digital constitutes electronic communications. You consent to receive electronic communications from us, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email or on the Site, satisfy any legal requirement that such communications be in writing.

4. Your Account

You must be at least 14 years old to create an account. You must be at least 18 years old to post a listing or to upload photos as part of a listing.

Accounts for users ages 14 through 17 may view the Site, play available games, and use the Site inbox only to (a) message Site administration, (b) message a business about its directory listing, or (c) ask a question about a specific listing someone else posted (including a yard sale, homegrown-goods stand, lost pet, rental, or FSBO home). A 14-through-17 account may not post listings, create a business listing, publish a public phone number, email, or street address on a listing page, or use the inbox as general chat with other users.

If you create an account while under 18, you represent that a parent or guardian has permitted you to have that account. When you turn 18 you may use posting features if your account is in good standing.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for restricting access to your device. You agree to accept responsibility for all activity that occurs under your account. You may not assign or transfer your account. You must keep your account information reasonably current, including your age or birth year if we collect it, and notify us at hello@cityhublive.com if you suspect unauthorized use.

Raven Hall Digital is not responsible for third-party access to your account that results from theft or misappropriation of your credentials. We reserve the right to refuse or cancel service, terminate accounts, restrict features by age, or remove or edit content in our sole discretion.

5. Children and Age Limits

Raven Hall Digital does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If we learn that we have collected personal information from a child under 13, we will delete it and close any related account.

If you are under 14, you may browse public pages of the Site only with permission of a parent or guardian. You may not create an account.

If you are 14 through 17, you may create an account as described in Section 4, only with permission of a parent or guardian. You may use the Site inbox as limited in Section 6. You may not post listings until you are 18. Parents and guardians are responsible for a minor's use of the Site.

6. Site Inbox

The Site includes a built-in inbox. It is not a general social-messaging tool and is not built for users to message other ordinary users who have not posted a listing or business page.

Account holders who are 14 or older may use the inbox to (a) message Site administration, (b) message a business about its directory listing, or (c) ask a question of the person who posted a yard sale, homegrown-goods stand, lost-pet notice, rental, FSBO home, job, or similar listing. Do not use the inbox to solicit, harass, spam, or start unrelated personal conversations.

Only users who are 18 or older may post the listings that other people can write to. We may limit, rate-limit, or disable inbox access, including for minors if we receive a parent request or see misuse.

Messages you send through the inbox are Submissions under these Terms. We may review, refuse, or remove messages and may disclose them if required by law or to address abuse. We are not responsible for what users say to each other in the inbox or for any meeting or deal that follows.

7. Games Page

The Site may include a games page with generic, casual games offered for entertainment. No real money is involved. The games are not gambling and are not a contest for a prize. Playing games does not change the age rules in Sections 4 and 5 and is not a way to post listings.

Games may be operated by us or embedded from a third party. Third-party games are Linked Sites or third-party services under these Terms. Their own terms and privacy practices may apply, and we are not responsible for their content, availability, scoring, ads, or data practices beyond what our Privacy Policy describes.

If a game saves a score, display name, or progress, that information is a Submission to the extent it is stored on the Site. Do not put personal contact information into a game display name. We may change, pause, or remove any game at any time. Games are provided as is. We do not warrant that they will be error-free or uninterrupted.

8. Links and Third-Party Services

The Site may contain links to other websites (“Linked Sites”). Linked Sites are not under our control, and we are not responsible for their contents, updates, or practices. Links are provided only as a convenience. Inclusion of a link is not an endorsement.

Certain features may be delivered by third-party providers (for example maps, email delivery, or payment tools if we offer paid placement). By using such a feature you acknowledge that we may share with that provider the information needed to deliver it, as described in our Privacy Policy.

If we offer a way to connect your CityHub Live account to a third-party account (such as a social login), then by using that feature you consent to the sharing described in that provider’s settings and our Privacy Policy. If we do not offer that feature, this paragraph does not create one.

9. License to Use the Site; Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms. You may not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not damage, disable, overburden, or impair the Site, interfere with anyone else’s use, scrape or harvest content or user information by automated means, or obtain materials through any means we have not intentionally made available.

All content we provide as part of the Site — including text, graphics, logos, images, software, and the compilation and arrangement of listings — is the property of Raven Hall Digital or its suppliers and is protected by copyright and other laws. You do not acquire ownership of that content. You may not modify, publish, reverse engineer, sell, or exploit Site content except as these Terms allow. Personal, non-commercial viewing of public pages is permitted. Copying the Site to build a competing listings database is not.

10. Communication Services and User Listings

The Site may contain news pages, calendars, directories, classified categories, comments, messages, and other features that let you communicate with the public or with a group (collectively, “Communication Services”).

Classified listings, business directory listings, job ads, rentals, FSBO homes, yard sales, homegrown-goods posts, lost-pet notices, and event submissions are allowed only in the categories we provide for that purpose. The general rule against advertising in unrelated discussion areas does not prohibit those permitted listings.

When you use a Communication Service or post a listing you agree that you will not:

Defame, abuse, harass, stalk, threaten, dox, or violate the privacy or publicity rights of others;

Post material that is unlawful, fraudulent, misleading, obscene, or infringing;

Upload files you do not have the right to use, or files that contain viruses or malware;

Run surveys, contests, pyramid schemes, chain letters, or multi-level marketing;

Harvest email addresses or other personal information without consent;

Impersonate any person or misrepresent your identity, authority, or affiliation; or

Violate any applicable law or any posted guideline for a particular category.

We have no obligation to monitor Communication Services, but we may review, refuse, recategorize, or remove material and terminate access at any time, with or without notice. We may disclose information as required by law, legal process, or government request.

Always use caution before publishing personally identifying information. We do not control or endorse user content and disclaim liability for Communication Services and for what happens when you meet or deal with other users. Volunteer editors, town hosts, or similar contributors are not official spokespersons of Raven Hall Digital.

11. Your Submissions

Raven Hall Digital does not claim ownership of the materials you post or submit (“Submissions”), including listings, photos and other images, descriptions, inbox messages, comments, and feedback. Photos must be of the actual item, property, animal, event, or business being listed, and you must have the right to post them. By posting a Submission you grant Raven Hall Digital, our affiliates, and service providers a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit for formatting or sizing, translate, and reformat that Submission, and to use it to operate, promote, improve, and archive the Site, including on town pages, in search results, in emails, and in app or social excerpts. We may display your public display name in connection with the Submission. No compensation is paid for this use.

We have no obligation to post or keep any Submission and may remove any Submission at any time.

You warrant that you own or control all rights needed to grant this license, that your Submission is accurate to the best of your knowledge, and that our use of it as permitted here will not infringe any third-party right or violate any law.

12. Rules for All Listings

Every listing must be truthful, current, and placed in the most appropriate category and town. You must use photos of the actual item, property, animal, or event — not stock photos or photos of someone else’s property passed off as the real thing. You must disclose material conditions, fees, defects, and restrictions. You may not use fake prices, bait-and-switch tactics, keyword stuffing, or duplicate the same listing across overlapping categories. You may post only what you own or are authorized to offer.

12.1 Yard sales and household sales

You are responsible for local permit, sign, parking, and hours rules. Do not list stolen goods, recalled items, hazardous materials, or other prohibited items in Section 13. We do not collect sale proceeds or resolve buyer-seller disputes.

12.2 Homegrown goods, produce stands, baked goods, eggs, honey, and similar offerings

You represent that you may legally sell or give away what you offer and that you have every license, inspection, label, and tax registration that applies. Cottage-food and farm-stand rules differ by town. We do not inspect kitchens, farms, or products and we make no representation that any food is safe, organic, or fit for a particular purpose. Buyers deal with sellers at their own risk.

12.3 Lost pets

Describe the animal and last-seen information. Do not post another person’s private contact information or accuse someone of theft. The Site is not a shelter, rescue, or law-enforcement agency. We do not investigate ownership or custody disputes and we do not guarantee that a pet will be found. Do not use this category to sell animals, offer stud service, or advertise breeding.

12.4 Rentals

List a dwelling only if you own it or are legally authorized to rent or sublet it. Use real photos of the actual unit and state the rent and material fees. You must not discriminate in violation of the federal Fair Housing Act or applicable Kentucky or local fair-housing law, including preferences based on race, color, national origin, religion, sex, familial status, disability, or any additional protected class under state or local law. We are not a landlord, property manager, or broker. Any lease is solely between landlord and tenant.

12.5 FSBO homes

We are not a licensed real-estate broker, salesperson, appraiser, or lender. You represent that you have legal authority to advertise the property and that the listing is accurate as to price, location, and material facts you are required to disclose. Housing-sale ads must also comply with fair-housing and advertising laws. Buyers and sellers negotiate and close independently. We do not verify title, liens, zoning, flood zone, or condition.

12.6 Events

The Site may list community events, activities, local sporting events, and churches. Listing a church or sports schedule is not an endorsement of that organization. Submit only events you are authorized to publicize. We do not sponsor, endorse, or insure listed events unless we say so in writing. Ticket sales and cancellations are between the organizer and attendees.

12.7 Job advertisements

Job ads must be for lawful work. You must comply with federal, state, and local employment-advertising and anti-discrimination laws. Do not state a preference based on race, color, religion, sex, national origin, age, disability, or another protected characteristic except where a bona fide occupational qualification is lawful and disclosed. Do not use job ads for pyramid schemes, pay-to-get-the-job arrangements, or disguised product sales. We are not an employer or staffing agency and we do not screen applicants or employers.

12.8 Business listings

Describe a real, currently operating business. A directory listing may include a way to get directions, visit the business website, view a menu if one is provided, and message the business through the Site inbox. Inclusion is not an endorsement. We do not verify licenses, health scores, or hours. Directions and maps may be provided by a third-party map service.

13. Prohibited Content

You may not post or use the Site in connection with: illegal or fraudulent activity; weapons, firearms, ammunition, or explosives; controlled substances or prescription drugs; stolen or counterfeit goods; recalled or hazardous items; sale of pets for profit, stud service, or protected species; sexual services or any sexual content involving minors; trafficking or exploitation; hate speech, threats, or harassment; malware, phishing, or spam; or any attempt to circumvent a removal or ban. This list is not exhaustive.

14. Safety When You Meet or Transact Offline

Most listings lead to in-person contact. You are responsible for your own safety. Meet in a public place when practical. Tell someone where you are going. Inspect items, property, and animals yourself. Do not wire money, send gift cards or cryptocurrency, or accept overpayment or fake-check schemes. Verify identity and ownership before handing over keys, pets, deposits, or large sums. We do not background-check users. Any “verified” label, if we later offer one, has only the limited meaning we describe at the time.

15. Fees

Yard sales, homegrown goods, lost pets, rentals, and FSBO homes may be posted at no charge. Job ads may be posted free or as a paid or featured placement when that option is offered. Business directory upgrades or other paid options, if offered, will show the price at checkout. Unless we state otherwise in writing, paid fees are non-refundable if we later remove a listing that violates these Terms. You are responsible for applicable taxes.

16. Copyright Complaints (DMCA)

If you believe content on the Site infringes your copyright, send a notice that complies with the Digital Millennium Copyright Act to:

Include your signature; identification of the copyrighted work; identification and location of the material claimed to infringe; your contact information; a good-faith statement that the use is not authorized; and a statement under penalty of perjury that the notice is accurate and that you are the owner or authorized to act for the owner. We may terminate accounts of repeat infringers in appropriate circumstances.

17. International Users

The Site is controlled and administered by Raven Hall Digital from offices in the United States. If you access it from outside the United States, you are responsible for compliance with local law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Raven Hall Digital, its officers, directors, employees, agents, and service providers from and against any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your Submissions or listings, your offline meetings or transactions with other users, your violation of these Terms, your violation of any third-party right, or your violation of any law. We may assume exclusive defense of any matter subject to indemnification, and you will cooperate.

19. Arbitration

If the parties cannot resolve a dispute arising out of or relating to these Terms or the Site, the dispute shall be resolved by final and binding individual arbitration under the Federal Arbitration Act, before a single neutral arbitrator, administered by the American Arbitration Association (or another established arbitration service the parties select) under its applicable consumer rules. The arbitration will be held in Henderson County, Kentucky, or another location the parties agree on, or by telephone or video if the arbitrator allows.

The arbitrator’s award shall be final, and judgment may be entered on it in any court having jurisdiction. The Federal Arbitration Act governs this provision. The arbitrator shall decide the scope and enforceability of this arbitration provision. This section survives termination of these Terms.

Either party may instead bring an individual claim in small-claims court in Henderson County, Kentucky, or in the county of your U.S. residence, if the claim qualifies. Either party may seek temporary injunctive relief in court to protect intellectual property or to enforce the results of arbitration.

20. Class Action Waiver

Any arbitration under these Terms will take place on an individual basis. Class arbitrations and class, collective, or representative actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH PARTY’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, INCLUDING A PRIVATE ATTORNEY GENERAL ACTION. Unless both you and Raven Hall Digital agree otherwise, the arbitrator may not consolidate more than one person’s claims or preside over any class or representative proceeding.

21. Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY MADE. RAVEN HALL DIGITAL AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE SITE OR ANY LISTING, USER, ITEM, PROPERTY, ANIMAL, JOB, FOOD PRODUCT, OR EVENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAVEN HALL DIGITAL OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF THE SITE, DELAY OR INABILITY TO USE THE SITE, USER CONTENT, OR ANY TRANSACTION OR MEETING WITH ANOTHER USER, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50).

BECAUSE SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITS, SOME OF THE ABOVE MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH THE SITE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY, EXCEPT FOR CLAIMS THAT CANNOT BE LIMITED BY LAW, IS TO DISCONTINUE USING THE SITE.

22. Termination; Governing Law; Courts for Limited Purposes

Raven Hall Digital may terminate your access to the Site or any portion of it at any time, without notice. You may stop using the Site at any time.

To the maximum extent permitted by law, these Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules, and by applicable United States federal law, including the Federal Arbitration Act.

Except for individual small-claims actions described above, and except for proceedings to compel arbitration, confirm or vacate an award, or seek temporary injunctive relief, you consent to the exclusive jurisdiction and venue of the state or federal courts located in Kentucky for disputes that are not subject to arbitration. Those court provisions do not replace the agreement to arbitrate in Section 19.

Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including this section. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Raven Hall Digital because of these Terms or your use of the Site.

If any part of these Terms is found invalid or unenforceable, including a warranty disclaimer or liability limit, that part will be modified to the minimum extent necessary, and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Unless otherwise specified, these Terms and the Privacy Policy are the entire agreement between you and Raven Hall Digital with respect to the Site and supersede prior communications on that subject. A printed copy of these Terms and of electronic notices shall be admissible to the same extent as other business records originally generated in print. The parties intend that these Terms be written in English.

23. Changes to Terms

Raven Hall Digital may change these Terms at any time. The current version posted on the Site supersedes prior versions. We will update the effective date when we post a revision. Material changes may also be announced by email or a notice on the Site if we have a workable contact method. Continued use after the revised Terms are posted constitutes acceptance. If you do not agree, stop using the Site.
